Broadplace Constitution

Name:
The name of the organisation shall be the Maesbury Broadplace
- Membership:
All local residents shall be entitled to membership, subject to satisfactory
completion of a registration form and payment of an annual subscription
to be determined by the Committee. The definition of 'local' shall be
determined by the Committee as circumstances require.
- Objectives:
- To provide a broadband internet connection for use by the members,
and to provide any other activities using related computerised/digital
equipment.
- To raise funds for the replacement and upgrading of all equipment
as required.
- Location:
- The Maesbury Broadplace shall be primarily based at the Coed-y-Rae
Community Tea Room, but facilities may be made available elsewhere
at the discretion of the Committee.
- The owners of the Tea Room shall be the Broadplace Co-ordinators,
and shall be ex officio members of the Committee.
- Status:
The Maesbury Broadplace shall be non-profit making. Any income shall
be retained for future investment.
- Charges:
- Members shall not be charged for using the equipment within the
main premises, but may only use equipment in the tea-room during
public open hours if they are also tea-room customers.
- Groups may be charged for use of the building, by the owners at
their discretion, but subject to prior agreement with the Committee.
- Equipment may be hired for use elswhere at the discretion of Committee
and for fees to be determined by the Committee.
- Visitors, who are not local residents, may use the equipment for
fees to be determined by the Committee. The definition of 'visitor'
shall be determined by the Committee as required.
- General Meetings:
- An Annual General Meeting shall be held at a time and place to
be determined by the Committee.
- All members shall be entitled to vote. All decisions, except those
specified below, shall be by simple majority vote.
- Extraordinary General Meetings may be called by the Committee
or by a petition of 30 voting members.
- Elections:
- A Committee of 8 members shall be elected at the AGM.
- Between AGMs the Committee shall be empowered to co-opt members
to fill any vacancies until the next AGM, and may co-opt a further
three members for specific roles.
- The Committee shall elect a chairperson, secretary, treasurer
and any other officers as required.
- Committee Meetings:
- Meetings shall be arranged at times and places agreed by the Committee.
- Between meetings discussions shall continue via the Broadplace
email group.
- All members are entitled to attend committee meetings with 7 days
prior notice. Opportunities to address the Committee shall be available
at the Committee's discretion.
- Volunteers:
- Volunteers shall be recruited and vetted by the Committee, to
work under the supervision of the Broadplace Co-ordinators, and
to provide a variety of activities for the local community.
- All volunteers shall be invited to join the Broadplace email group
to participate in a non-voting capacity.
- Other matters:
Any issues not specifically referred to in this Constitution may be
determined by the Committee.
- Dissolution:
- Dissolution of the Broadplace may be effected by a 75% majority
vote of those attending a General Meeting.
- Upon dissolution all assets shall be transferred to other non-profit
organisations selected by the members.
- Alterations:
Alterations to this constitution may be made by a 75% majority of members
attending a General Meeting.
